This Acceptable Use Policy ("AUP") sets out the rules for using the Nerchr platform and forms part of the agreement between you and Nerchr Ltd. It sits alongside our Terms of Service, Privacy Policy, Data Processing Agreement, Fair Use Policy, and Cookie Policy. Capitalised terms not defined in this AUP have the meanings given to them in the Terms of Service.

By using the Service, you agree to comply with this AUP. We may update this AUP from time to time, and the current version will always be available at www.nerchr.io/acceptable-use.

1. General Principles

You must use the Service in a manner that is lawful, ethical, and respectful of others. You are responsible for all activity that occurs under your Account and within your Client Accounts, including the actions of your Authorised Users and any third parties who access the Service through your Account.

2. Permitted Use

The Service is designed for B2B and B2C lead generation, contact management, reporting, and advertising optimisation through paid media channels. You may use the Service for:

  • Creating interactive lead capture funnels for legitimate products and services
  • Managing contacts and sales pipelines
  • Building reporting dashboards using your own first-party and connected third-party data
  • Sending conversion data to advertising platforms via Conversion API connections
  • Automating workflows related to lead management and ad platform feedback
  • Integrating with third-party tools via Zapier, webhooks, or other supported methods
  • Any other lawful business purpose consistent with the intended functionality of the Service

3. Prohibited Activities

You must not use the Service to:

3.1 Unlawful or Harmful Activity

  • Violate any applicable law, regulation, or legal obligation
  • Facilitate, promote, or encourage any criminal activity
  • Process or collect personal data without a valid legal basis under applicable data protection laws
  • Collect personal data from individuals without appropriate notice and, where required, consent
  • Process special category data (as defined under UK GDPR) without appropriate legal safeguards

3.2 Spam and Unsolicited Communications

  • Send, facilitate, or enable unsolicited commercial communications (spam) in violation of applicable laws, including the Privacy and Electronic Communications Regulations 2003 (PECR), the UK GDPR, the EU GDPR, the CAN-SPAM Act, or equivalent legislation
  • Use Funnels to collect contact information for the purpose of sending unsolicited communications without appropriate consent
  • Create Funnels or workflows designed to circumvent anti-spam protections or unsubscribe mechanisms
  • Sell, rent, or share contact data collected through the Service with third parties for their own marketing purposes, without the informed consent of the individuals concerned

3.3 Deceptive or Misleading Practices

  • Create Funnels that are intentionally misleading about the nature of the product, service, or offer being advertised
  • Use the Service to engage in phishing, social engineering, or impersonation of another person or organisation
  • Submit false, fabricated, or artificially inflated conversion data to advertising platforms through the Conversion API features
  • Misrepresent yourself, your business, or your relationship with any other entity
  • Use the Service to create fake reviews, testimonials, or endorsements

3.4 Harmful Content

  • Use the Service to collect, store, or distribute content that is unlawful, defamatory, obscene, threatening, abusive, or that promotes hatred or discrimination
  • Use the Service in connection with content that exploits, harms, or endangers minors
  • Collect or process data relating to children (individuals under 18) through the Service without appropriate legal safeguards and parental or guardian consent where required

3.5 Intellectual Property Infringement

  • Use the Service in a way that infringes the intellectual property rights of any third party
  • Copy, reproduce, or redistribute Nerchr's proprietary content, templates, or materials without authorisation
  • Create Funnels that use trademarks, logos, or branding belonging to others without authorisation

3.6 Security and Technical Misuse

  • Attempt to gain unauthorised access to any part of the Service, other users' accounts, or Nerchr's systems or infrastructure
  • Introduce malware, viruses, trojans, or other harmful code to the Service
  • Interfere with or disrupt the integrity, performance, or availability of the Service
  • Probe, scan, or test the vulnerability of the Service or any connected system without prior written consent
  • Use automated means (bots, scrapers, spiders) to access, monitor, or extract data from the Service, except through supported APIs and integrations
  • Circumvent, disable, or interfere with any security features of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service

3.7 Advertising Platform Compliance

  • Use the Conversion API features in a way that violates the terms, policies, or guidelines of the connected advertising platform (including Google Ads policies, Meta advertising standards, and equivalent policies on other platforms)
  • Transmit conversion data that you know to be inaccurate, fabricated, or manipulated
  • Use the Service to engage in click fraud, impression fraud, or any form of advertising fraud

3.8 Excessive or Abusive Usage

  • Use the Service in a way that places an unreasonable or disproportionate load on our infrastructure
  • Create Contacts through automated means designed primarily to inflate usage counts or disrupt the billing system
  • Share Account credentials or allow access to the Service by unauthorised individuals
  • Use a single Account or Client Account to serve multiple unrelated businesses in a way that circumvents the intended Account structure and pricing

For the avoidance of doubt, the technical ceilings and reasonable use thresholds set out in our Fair Use Policy form part of this AUP. Persistent or material breach of the Fair Use Policy is treated as a breach of this AUP.

3.9 Competing Use

  • Use the Service, or data obtained through the Service, to build, improve, or market a product or service that competes with Nerchr
  • Access the Service for the purpose of benchmarking or competitive analysis

4. Industry-Specific Requirements

If you operate in a regulated industry, you are responsible for ensuring that your use of the Service complies with all applicable industry-specific regulations, including (but not limited to):

  • Financial services: FCA regulations, financial promotions rules, and anti-money laundering requirements
  • Healthcare: Patient data confidentiality obligations and healthcare advertising standards
  • Real estate: Property advertising regulations applicable in your jurisdiction
  • Legal services: Professional conduct rules and solicitor advertising regulations

Nerchr does not provide industry-specific compliance features. It is your responsibility to configure your Funnels, workflows, and data collection practices to meet the regulatory requirements that apply to your business.

5. Your Responsibilities for Customer Data

You are the data controller for all personal data you collect and process through the Service. This means you are responsible for:

  • Providing appropriate privacy notices to individuals whose data you collect through Funnels
  • Ensuring you have a valid legal basis for collecting and processing personal data
  • Responding to data subject rights requests (access, deletion, rectification, etc.) from individuals whose data you hold in the Service
  • Ensuring that any data you transmit to advertising platforms via Conversion API features complies with applicable data protection laws
  • Configuring your Funnels and workflows in a way that respects the privacy and rights of individuals

The terms governing how Nerchr processes Customer Data on your behalf are set out in our Data Processing Agreement.

6. Enforcement

6.1 Investigation

We may investigate any suspected violation of this AUP. We may review Account activity, Funnel content, and usage patterns to determine whether a violation has occurred. We will act reasonably and proportionately in any investigation.

6.2 Actions We May Take

If we determine that a violation of this AUP has occurred, we may take one or more of the following actions, depending on the severity and nature of the violation:

  • Issue a warning and request that you remedy the violation within a specified timeframe
  • Temporarily suspend access to specific features of the Service
  • Suspend your Account or specific Client Accounts pending resolution
  • Permanently terminate your Account
  • Remove or disable Funnels or content that violate this AUP
  • Report the violation to relevant authorities where required or appropriate

6.3 Notice

Except where immediate action is necessary to protect the Service, other users, or comply with legal obligations, we will provide you with reasonable notice before taking enforcement action and give you an opportunity to remedy the violation.

6.4 No Liability for Enforcement

We shall not be liable for any loss or damage arising from enforcement actions taken in good faith under this AUP.

7. Reporting Violations

If you become aware of any activity that violates this AUP, please report it to us at abuse@nerchr.io. We take all reports seriously and will investigate promptly.
